Pakistan Business Registration: First Steps for FBR Compliance
Why Business Registration Matters (Pakistan-Specific)
Pakistan requires all businesses generating income to register with the government. Unlike some countries with informal economies, Pakistan enforces strict compliance through FBR (Federal Board of Revenue). Missing this step means:
- No invoicing: Can't create legal FBR invoices without NTN
- Bank blocked: Banks won't allow business accounts without registration
- Penalties: Operating unregistered attracts penalties under the Sales Tax Act and Income Tax Ordinance
- No tax filings: Can't file returns, submit to tax audits
- Business closed: FBR can shut down unregistered businesses
Pakistan business registration is a 5-step process covering SECP, NTN, and sales tax registration. This guide walks through each.
Types of Business Structures
Before registering, choose your legal structure. Pakistan supports:
| Business Type | Owners | Liability | Complexity | Best For |
|---|---|---|---|---|
| Sole Proprietorship | 1 person | Unlimited (personal liable) | Simple | Solo entrepreneurs, consultants |
| Partnership | 2+ people | Unlimited (all partners liable) | Moderate | Team-based startups |
| Private Limited Company (PLC) | 1+ shareholders | Limited (to investment) | Complex | Growing businesses, investor-backed |
| Public Limited Company (PLC) | 7+ shareholders (public) | Limited | Most complex | Large companies, public shares |
For most startups: Sole proprietorship (easiest) or private company (if planning venture funding).
5-Step Business Registration Process
Step 1: Register with SECP (Securities & Exchange Commission of Pakistan)
For: Private/Public companies (NOT sole proprietorship)
If you're forming a company, SECP registration is first. SECP issues:
- Certificate of Incorporation: Legal proof your company exists
- Company registration number: Unique company identifier (CRN)
Documents needed:
- Memorandum & Articles of Association (M&A) — company bylaws
- Founders' CNIC copies
- Office address proof (utility bill)
- Founder signatures (notarized)
How to apply: SECP's online portal (eservices.secp.gov.pk) or through a lawyer (recommended).
Step 2: Obtain NTN (National Tax Number) from FBR
For: All businesses (mandatory)
NTN is your tax ID — required for FBR invoicing. Without NTN, you cannot legally invoice.
Documents needed:
- SECP Certificate of Incorporation (for companies)
- CNIC (for sole proprietors)
- Office lease/ownership proof
- Bank account details
- Contact information
How to apply: FBR's IRIS system (iris.fbr.gov.pk) or visit local FBR office.
What you receive: Your NTN (National Tax Number, 7 digits) via email/SMS. Individuals and sole proprietors use their 13-digit CNIC as their tax identifier.
Step 3: Register for Sales Tax (if applicable)
For: Businesses required to register under the Sales Tax Act 1990 (manufacturers, importers, wholesalers, distributors, retailers above the threshold, and others)
If your business falls in a category that must register under the Sales Tax Act 1990 (check the current threshold and category rules on IRIS), sales tax registration is mandatory.
Documents needed:
- NTN certificate
- Business description (what you sell)
- Estimated annual turnover
- Bank details
What you receive: Sales tax registration number (STRN) — enables you to file monthly sales tax returns.
Step 4: Open Business Bank Account
For: All businesses
Most banks require:
- SECP Certificate (companies) or CNIC (sole proprietors)
- NTN certificate
- Sales tax registration (if applicable)
- Business utility bill
- Founder CNIC + contact
Why important: FBR cross-checks bank deposits against invoiced sales. If sales don't match deposits, audit triggers.
Step 5: Set Up FBR Digital Invoicing
For: Businesses in the categories notified for Digital Invoicing (SRO 69(I)/2025, SRO 709(I)/2025 and later FBR extensions)
Once you have your NTN and sales tax registration, enrol for Digital Invoicing on IRIS:
- Log in to IRIS (iris.fbr.gov.pk) and enrol for Digital Invoicing
- Obtain your sandbox token and pass the sandbox scenarios eligible for your business nature and sector (from SN001–SN028)
- Receive your production token after the eligible scenarios pass
- Connect your invoicing software through the PRAL Digital Invoicing API; each invoice is transmitted to FBR when issued and the FBR invoice number is printed on it with a QR code
Deadlines depend on your business category and the latest FBR notification; see our FBR Notifications page.

Common Startup Mistakes
Mistake #1: Starting Without Registration
Problem: "We're invoicing customers without NTN yet (still in process)." FBR audits invoices without registered NTN = rejection.
Fix: Delay first invoices until NTN is active. Or issue pro-forma invoices (not FBR invoices) until registered.
Mistake #2: Wrong Business Structure
Problem: "We registered as sole proprietor but now need investor funding (requires company status)." Switching structures mid-operation = compliance issues.
Fix: Choose structure upfront. If planning funding/scaling, register as private company from start.
Mistake #3: Skipping Sales Tax Registration
Problem: "Our sales are above the threshold but we didn't register for sales tax (thought it was optional)." FBR audits trigger back-taxes + penalties.
Fix: Sales tax registration is mandatory for the categories and thresholds in the Sales Tax Act 1990. Check the current rules on IRIS and register immediately if needed.
Mistake #4: No Business Bank Account
Problem: "We use personal bank account for business (easier)." FBR can't reconcile invoices to deposits = audit flag.
Fix: Open separate business account (required by law anyway). Makes tax filing/audits simpler.
Mistake #5: Not Using FBR Digital Invoicing
Problem: "We use manual/generic invoicing software, don't file with FBR." FBR invoices are mandatory (not optional).
Fix: Use FBR-compliant invoicing from day one. FinSmart validates each invoice and submits it to FBR through the PRAL Digital Invoicing API.

FBR Compliance from Day One
Once registered, here's how to stay compliant:
- Issue FBR invoices for all sales: Every customer transaction = FBR invoice
- File sales tax monthly: By the 18th of the following month, with payment by the 15th (if registered for sales tax)
- Pay advance income tax quarterly: Section 147 instalments — check the current due dates on IRIS
- File income tax return annually: 30 September for individuals and AOPs; 31 December for companies with a June year-end
- Reconcile monthly: Invoice totals = bank deposits (approximately)
- Keep records 6 years: All invoices, receipts, bank statements (Sales Tax Act requirement)
